Terms of Service

Draft for legal review — not yet in effect.

This draft reflects the CSRise Corporate Impact Operating System. It replaces the earlier crowdfunding and escrow text and must be reviewed by qualified Nigerian counsel before it is published or relied on.

1. Acceptance of Terms

These Terms of Service (“Terms”) govern access to and use of the CSRise platform (the “Platform”), operated by CSRise Technology Ltd (“CSRise”, “we”, “us”, or “our”). The Platform is provided to organisations (“Customers”) under a subscription agreement. Individuals use it on behalf of a Customer or of an implementing partner invited by a Customer (“Users”). By using the Platform you agree to these Terms, our Acceptable Use Policy and our Privacy Policy, which are incorporated by reference. If you do not agree, you must not use the Platform.

2. Description of Service

CSRise is software that helps a Customer govern its corporate social responsibility (CSR) spending: preparing mandates and allocations, assigning them to projects, defining milestones with acceptance criteria, collecting and reviewing evidence, recording approvals, recording and reconciling payments, and producing reports and an audit trail.

CSRise does not hold, receive, transmit or disburse money. A Customer pays its implementing partners directly from its own bank accounts. A mandate is an approval ceiling, not cash held by CSRise. CSRise does not provide escrow, is not a bank, payment service provider or fiduciary, and is not a party to any agreement between a Customer and an implementing partner. CSRise does not guarantee any project, outcome, or the conduct of any Customer or partner.

3. Accounts, Roles and Invitations

  • Customer accounts are set up under a subscription agreement. A Customer typically has between five and eight Users.
  • The Customer’s Account Owner assigns roles (Program Owner, Reviewer, Approver, Finance Officer, Executive/Board Viewer). The Account Owner role carries no automatic financial authority.
  • There is no public registration for implementing partners. A Customer approves a partner and invites its users, typically two to five per organisation. A partner User can see only the projects assigned to that partner.
  • You must be at least 18 years old and authorised to act for the organisation you represent, and you must provide accurate information.
  • You are responsible for keeping your credentials confidential, for using two-factor authentication where required, and for all activity under your account.

4. Subscriptions and Payments to CSRise

  • Subscription fees and any other amounts payable to CSRise are set out in the Customer’s order form.
  • Payments to CSRise may be processed by our third-party payment processor, Paystack, and other approved payment methods. CSRise does not directly store full card or bank account details.
  • Amounts paid to CSRise are fees for the Platform. They are not payments to, or on behalf of, any implementing partner.

5. Approvals, Payments and Records

  • Approval thresholds are configured by each Customer. A change to a threshold requires authorised approval and is recorded in the audit trail.
  • Milestone approval, payment authorisation, payment recording and payment reconciliation must be performed by different people on each payment. A payment above the Customer’s higher threshold requires two independent authorisers. These controls apply per payment, not per job title.
  • Approval of evidence or of a milestone does not itself authorise or trigger a payment. Payment is authorised separately.
  • A payment is marked “Paid” only after the Customer’s Finance Officer records a bank transfer reference and receipt and a different finance User verifies the reconciliation. This status reflects information entered and confirmed by the Customer’s own Users. It is not a bank confirmation, an audit or an assurance opinion.
  • The Customer is solely responsible for its payment decisions, for making payments, and for compliance with the laws that apply to them.

6. Evidence and Customer Content

  • Implementing partners are responsible for the accuracy and lawfulness of the evidence they submit, including documents, photographs, receipts and attendance records.
  • Evidence is versioned. Approved evidence cannot be silently replaced; a new version is recorded alongside the old one.
  • Customers and partners must have a lawful basis for any personal data in evidence, including information about beneficiaries, and should not submit more than is needed.
  • As between you and CSRise, you retain ownership of the content you submit. You grant CSRise a non-exclusive, royalty-free licence to host, process and display it solely to operate the Platform for you and the Customer concerned.

7. Data Separation and Support Access

  • Each Customer’s data is separated from every other Customer’s. A partner never sees a Customer’s mandates, or other partners.
  • CSRise administrators manage accounts, subscriptions, support and system health. They cannot approve milestones or authorise payments.
  • Where CSRise support needs to view Customer data, access is authorised, read-only, time-limited and recorded in the audit trail.

8. Prohibited Conduct

Use of the Platform is subject to our Acceptable Use Policy, which prohibits among other things submitting false or duplicated evidence, forging documents, circumventing approval or separation-of-duties controls, sharing credentials, attempting to access another Customer’s data, and using the Platform to conceal the source or purpose of funds. Breach may result in suspension or termination of access and, where appropriate, a hold on activity within the Platform.

9. Monitoring and Compliance

CSRise may monitor the Platform for security and misuse, may request further information from any User, may suspend access pending review, and may report suspected unlawful activity to regulators or law enforcement where required or permitted by law.

10. Intellectual Property

The Platform, including its design, text, graphics, logos and software, is owned by or licensed to CSRise and is protected by applicable intellectual property laws. These Terms give you a limited right to use the Platform for the Customer’s subscription term and no other rights in it.

11. Disclaimers

The Platform is provided “as is” and “as available”. CSRise does not guarantee the outcome, legitimacy or success of any project. “Verified”, “Approved” and similar labels describe a workflow status inside the Platform: they mean a defined internal process was completed. They are not an external audit, an independent assurance opinion, a legal certification, or a guarantee that evidence is authentic or tamper-proof. The Platform does not produce ESG scores, rankings or benchmarks presented as verified impact; where there is not enough approved evidence it shows “Not Assessed” or “Insufficient Verified Data”.

12. Limitation of Liability

To the fullest extent permitted by applicable law, CSRise shall not be liable for any indirect, incidental, special or consequential damages arising from your use of the Platform, your reliance on any information in it, or the conduct of any other User, Customer or partner. CSRise’s total liability for any claim arising from these Terms or your use of the Platform shall not exceed the fees paid by the Customer to CSRise in the twelve (12) months preceding the claim, where applicable.

13. Suspension and Termination

CSRise may suspend or terminate access where we reasonably believe these Terms, the Acceptable Use Policy or applicable law have been violated. A Customer may end its subscription in accordance with its subscription agreement. Arrangements for retrieving a Customer’s records on termination, and for retaining audit records, are set out in that agreement and the Privacy Policy.

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or your use of the Platform is subject to the exclusive jurisdiction of the courts of Nigeria, unless otherwise required by applicable law.

15. Changes to These Terms

CSRise may update these Terms to reflect changes in our services, legal or regulatory requirements or industry practice. We will post the updated Terms with a revised effective date and, for Customers, give notice as the subscription agreement requires.
